These terms and conditions (“Agreement”) are entered into between MA Sourcing Agency and you.

1. SERVICES We will provide sourcing services to you (“Services”) based on the requirements and specifications you provide us.
2. FEES Our fees for the Services will be communicated to you before we start the sourcing process. You agree to pay our fees in full upon receipt of an invoice. Payment is due within 30 days of invoice date. We reserve the right to suspend or terminate our services if payment is not made within 30 days of invoice date.
3. CONFIDENTIALITY We understand that the information you provide us is confidential and proprietary. We will not disclose any information to third parties unless required by law. We will also take reasonable steps to ensure the confidentiality of your information.
4. WARRANTIES We make no warranties or representations, express or implied, regarding the Services, including without limitation any warranties of merchantability or fitness for a particular purpose.
5. LIMITATION OF LIABILITY In no event will we be liable to you for any indirect, special, incidental, or consequential damages arising out of or in connection with the Services. Our liability to you for any direct damages arising out of or in connection with the Services will be limited to the amount of fees paid by you to us for the Services.
6. TERMINATION Either party may terminate this Agreement upon written notice to the other party. Upon termination, all fees owed to us will become immediately due and payable.
7. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of [State/Province] without giving effect to its conflict of law provisions.
8. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the Services.
